Penwest Collaboration with Pharmaceutics International Inc. (PII)

• Penwest and PII have entered into a collaboration agreement under which PII has agreed to:
  
  
  1. Conduct formulation work for Penwest's clients who are seeking product formulations that utilize Penwest's proprietary oral drug delivery technologies, TIMERx, Geminex and SyncroDose.
     
     
  2. Promote the Penwest technologies to their prospective customers.
     
     
• Penwest and PII will jointly review opportunities for licensing Penwest's oral drug delivery technologies to third parties.
  
  
• PII will generally assume primary responsibility for formulation development with technical guidance and oversight from Penwest and may assume responsibility for clinical trial material manufacturing and commercial manufacturing, if desired.
  
  
• The agreement represents an expansion of Penwest's technology licensing strategy, which Penwest expects will provide additional collaboration opportunities for parties desiring access to Penwest's oral controlled release technologies. This will allow Penwest to maintain its internal focus on developing products for disorders of the nervous system.
